A. Offer conditions

  1. Validity of Offer: 30 days from the date of quotation
  2. Country of Origin: INDIA
  3. Taxes, Duties and other statutory levies: Shall be extra as per ruling at the time of dispatch.
  4. Handling and releasing of materials from transporter: Any liability arising out of wrong/ mishandling or delay in releasing consignment from the transporter would have to be paid for by customer where transportation is in customer’s scope.
  5. Equipment and/ or filters design/model selected are based on information provided to DYNA Filters Pvt. Ltd. by the Customer at the time of order placement; please verify the same before placing the order.
  6. In case of exports outside, India, should Legalization and Certificate of origin be requested, please note that it will be charged extra along with processing charges.
  7. In case the shipment is not picked up by the customer immediately upon readiness or the customer delays giving dispatch clearance, warehousing charges shall be payable extra by the customer as mentioned in the General Terms & Conditions.
  8. Warranty: The goods sold by DYNA Filters Pvt. Ltd. are warranted for a period of 18 months from the date of invoice or 12 months from the date of commissioning whichever is earlier. The warranty however does not cover any other rubber components, consumable parts and other wear and tear components.
  9. Filter integrity / leak testing: All HEPA filters and Housing are 100% tested at Dyna in-house testing facilities. Pricing for the same is included in the quotation, for which appropriate certification is supplied along with the invoice. If required, Factory Acceptance Test (FAT) call will be given to the customer.
  10. For the products requiring installation and validation from DYNA Filters Pvt. Ltd. The following is to be taken a note of:
    1. DYNA Filters Pvt. Ltd. Will not be responsible for Filter integrity / leak testing at your location/ site or any other location other than DYNA Filters Pvt. Ltd. registered factory location.
    2. For Installation and Commissioning separate Purchase Order will be required as pre the quotation.
    3. Only one visit for installation and validation is considered in the price quoted for installation and validation. Site readiness for installation shall be ensured by you before placing the call for installation and validation.
    4. Installation team needs to be given clear work front for 8 hours per working day at a stretch. Idle days will be charged extra. The idle charges per man day is Rs. 2750 (taxes extra). The total idle day charges shall be levied as per the number of the personnel.
    5. Unloading of material at site to be arranged and borne by you. Depending on the size of the equipment required supporting manpower (helpers) for Installation and Commissioning shall be arranged by you at your cost.
    6. Material shall be located close to the installation area and necessary required electrical/utility connection to be arranged by you prior to placing a call for Installation and Commissioning. Provision of safe and secure storage place will be in your scope.
    7. Any theft, pilferage, or loss of material after it reaches the site will be on your account. Provision of equipment for the movement of material is required will be in your scope.

B. General Terms and conditions

  1. Limitation of Liability, Exclusion of Damages and Indemnity: DYNA Filters Pvt. Ltd.’s total liability for any claim arising from the supply of goods or services shall not exceed the amount paid by the customer for the specific product. Under no circumstances will DYNA Filters Pvt. Ltd. be liable for indirect, incidental, or consequential damages, including loss of profit or business. The customer agrees to indemnify DYNA Filters Pvt. Ltd. for any claims arising from misuse or modification of the products.
  2. Special condition
    Any term discussed or committed orally by anyone representing DYNA Filters Pvt. Ltd. becomes void by you receiving order acknowledgement with DYNA Filters Pvt. Ltd.’s standard terms & conditions. The terms & conditions mentioned here are final & others if any stay non-committed.
  3. Order Cancellation Once the order is placed, cannot be cancelled for any reasons.
  4. Interest for delay payments DYNA Filters Pvt. Ltd. strongly believes that you will honor the payment terms and schedule agreed in the contract, however in the unlikely event of delay in receipt of payments 15 days beyond the due date, an interest will be charged to your account as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006. And other legal provisions and applicable laws, regulations by the appropriate Indian governing bodies, courts, acts etc.
  5. Installation / Assembly/ site activities, if included by us Material shall be located to the installation area and necessary required electrical/utility connection to be arranged by you prior to placing a call for Installation and Commissioning. DYNA Filters Pvt. Ltd. shall not be responsible for any Preliminaries, Site alterations, ensuring a safe and healthy working environment for our workmen etc. The purchaser shall provide a safe and suitable site, proper uninterrupted power supply as per our requirement.
  6. Operational requirements The purchaser shall maintain the required environmental conditions, if any applicable relating to supply of our products. DYNA Filters Pvt. Ltd. cannot be held responsible or shall claim due to site humidity, dust, pests, severe temperature, other environmental conditions, etc. The purchaser shall ensure that the equipment is operated, as per the operating instructions and manufacturer‘s recommendations. The purchaser shall also ensure that competent, trained and skilled personnel operate the equipment. We shall not be responsible for any loss, damage or injuries caused due to purchaser’s non-fulfilment of these conditions. Obtaining all necessary permissions from concerned competent authorities to operate the unit will be scope of purchaser and DYNA Filters Pvt. Ltd. shall not be held responsible for the same.
  7. Reservation Clause This quotation (contract, order confirmation) is made subject to all necessary Licenses and other permissions being obtained by the recipient, from the relevant authorities, for the destination and intended use of the goods and / or services
  8. Liquidated Damages Liquidated damages are not applicable if not specifically and mutually accepted by DYNA Filters Pvt. Ltd. in writing.
  9. Force Majeure DYNA Filters Pvt. Ltd. offer is strictly subject to Force Majeure and any other causes beyond our reasonable control. In the event of stoppage of work in any establishment of DYNA Filters Pvt. Ltd. suppliers during the delivery period owing to war, hostilities, acts of the public enemy, civil commotion, riots, sabotage, fires, floods, earthquakes, tempests, explosions, epidemics or any acts of God, quarantine restrictions, strikes, lockout, trade disputes, breakdowns, accidents, governmental decree, impossibility or difficulty of obtaining supplies of raw material, restrictions in power supply, power cuts, stoppage of railways or other carriers and / or causes beyond the control of the us. Deliveries may be postponed or partially or wholly cancelled by the sellers. We shall not be liable for any losses, direct or indirect, due to delay in performance or non-performance of this contract resulting from causes which are beyond our reasonable control and due to such causes, which amount to Force Majeure at law.
  10. Arbitration Any dispute or difference or claim arising out of or in relation to this transaction including construction, validity performance or breach thereof shall, failing amicable settlement be referred to arbitration under Arbitration and Conciliation Act of 1996 and any subsequent amendments thereof for time being in force. We shall appoint a Sole Arbitrator and it shall be binding on the Purchaser. Such arbitration shall take place in Pune, Maharashtra India. Award of arbitrator shall be final and binding on parties.
  11. Legal Construction The contract shall come into existence only after DYNA Filters Pvt. Ltd. send a confirmation of purchaser’s order and shall be construed and operated as Indian contract and in conformity with Indian Law and shall be subject to jurisdiction of courts in India. All correspondence & commitments between DYNA Filters Pvt. Ltd. and the purchaser, to be enforceable at law, shall be in writing.
  12. Storage Charges: In case of delay in lifting of the material by the from customer, DYNA Filters Pvt. Ltd. shall charge storage charges equivalent to 1% of the PO value per week.

    13. C. Anti-Bribery Laws

    1. We and every natural person, company or other entity (collectively, a “Person”) acting on behalf of us (i) are familiar with, (ii) understand, and (iii) have not violated any of the Unfair business practices.
    2. We and every Person acting on behalf of we have not been convicted or investigated by law enforcement or other competent agencies for violations of the Anti-Corruption Laws;
    3. We shall ensure that every Person acting on behalf of us shall, comply fully with all the Anti-Corruption Laws;
    4. In connection with our obligations under the transaction(s), we shall not, and shall ensure that every Person acting on behalf of us shall not,
      (1) Give, offer or promise to give anything of value, including but not limited to, any cash, meal, gift, entertainment, political contribution, or travel (collectively, “Gifts”), directly or indirectly, to
      (a) Influencing any act or decision by the public officials,
      (b) Inducing the public officials to do or omit to do any action in violation of the public officials’ lawful duty,
      (c) Securing any improper advantage
      (2) Authorize any Person to give, offer or promise to give the Gifts to any other Person with the knowledge or firm belief that all or a portion of the Gifts will be given, offered, or promised to give,
    5. We shall, and shall ensure that every Person acting on behalf of we shall, prepare and maintain accurate books, records and accounts necessary to demonstrate its compliance with the general business accounting practices in India.
    6. We shall, and shall ensure that every Person acting on behalf of us shall, execute written certifications and provide you with information and materials reasonably requested by you in order
    7. If we or every Person acting on behalf of us is reasonably determined by you to be in breach of the Anti-Corruption Laws, the Agreement may be terminated by you upon written notice to us
    8. In case that we retain any agent, sub-agent, representative, consultant, sub-contractor, or other Person (the “Sub-contractors) to assist in the carrying out, or to make them to carry out on scope in the purview of this contract, these “sub-contractors” performance shall be binding on the customer and DYNA Filters Pvt. Ltd. shall not be responsible or can be claimed for non-compliance by such “sub-contractors”.
